This is not in itself an insolvency procedure. Dissolution relates to Section 652A of the Companies Act 1985 allowing the removal of a company from the Companies Register in Cardiff when it has become dormant. It is also known as ‘Striking Off’.
Dissolution could be utilised when there is a dormant or non-trading company that has generally ceased trading for a period more than 3 months and has no assets. In some circumstances, companies with a small number of creditors who wish to avoid the costs of liquidation can be dissolved this way, however, if creditors include government departments it may not be possible.
The process to dissolve a Ltd company is fairly straightforward; in the first instance an application for striking off pursuant to S652A of the Companies Act 1985 is made by the Directors of the company or a majority of them.
